Rs 2100 Cr set to acquire Columbia Asia hospitals by Manipal hospitals

  • Manipal Hospitals, a multi-specialty healthcare provider, on Monday entered into a definitive agreement to acquire 100% stake in Columbia Asia Hospitals Private Limited (Columbia Asia).
  • The deal is valued at ₹2,100 crore, as per market sources. This makes Manipal Hospitals, the country’s second largest healthcare chain, after Apollo Hospitals.
  • Commenting on the deal, Dr Ranjan Pai, Chairman, Manipal Education and Medical Group (MEMG), said, “Columbia Asia makes a compelling strategic fit to our core values of clinical excellence, patient centricity and ethical practices, and will help us advance our commitment to provide outstanding patient care.”
  •  This is the start of an exceptional journey for us and together with Columbia Asia, we are now bigger, stronger and uniquely positioned to meet the growing expectations of the communities we serve across the country,” he added.
  • Columbia Asia Hospitals commenced operations in India in 2005 in Hebbal, Bengaluru and presently operates 11 hospitals across the country in Bengaluru, Mysore, Kolkata, Gurugram, Ghaziabad, Patiala and Pune. The network comprises over 1,300 beds, 1,200 clinicians and 4,000 employees.
  • Sharing his views on the transaction, Dan Baty, Chairman, Columbia Pacific Management said, “From day one, we focused on building a culture of putting the patient first to deliver the highest quality healthcare with integrity and exceptional service. This combination of Columbia Asia and Manipal Hospitals is very exciting because of the strong cultural alignment between the two companies – and the opportunity it provides for continued growth.”
  • The acquisition of Columbia Asia provides Manipal Hospitals a larger national footprint. Together, the combined entity will have 27 hospitals across 15 cities with 7,200+ beds, and a talented pool of 4,000+ doctors and 10,000+ employees. Treating over four million patients annually, it would rank amongst the second largest healthcare provider networks in the country.
  • The transfer of ownership to Manipal Hospitals was expected to be completed post regulatory approvals, said an official statement.
  • The advisors for Manipal Health Enterprise was Allegro Capital Pvt. Ltd. and Columbia Pacific was advised by Morgan Stanley.

Seven years old dispute still unresolved between SEBI and tax department

  • Mumbai: The dispute between market regulator the Securities and Exchange Board of India(Sebi) and the tax department on applicability of service tax remains unresolved even after seven years of initiation of proceedings.
  •  The dispute started in FY13 when the service tax department had raised a demand from Sebi to cough up for certain income incurred by Sebi. Similar demand was made by the Service tax department even for FY14, FY15 and FY16. A Right to Information (RTI) application filed by ET showed the matter is still pending. The amount of the tax dispute is around Rs 130 cr
  •  You are informed that the matter is sub-judice as it is pending before CESTAT (Customs Excise and Service Tax Appellate Tribunal,” said Sebi in the RTI response.
  • At the heart of the contention is whether Sebi should be made liable for service tax. The tax department took the view that Sebi offers services to several market intermediaries like brokers and other market institutions for which they receive fees and such fees should be treated as service tax.
  • On the other hand, Sebi took the view that services provided by the regulator were in its statutory capacity and hence should not attract service tax.
  •  The North Block had tried to intervene in the matter since it involved two regulators. In the FY17 Union Budget, the central government gave an explicit exemption to regulatory agencies such as Sebi from being subject to service tax.
  • However, this clarification was introduced prospectively. In other words, post 2016 the tax department cannot make demands for service tax from Sebi. However, it was silent on how the pre-existing disputes would be settled.

5 billion loses Mukesh Ambani in oil sinks Reliance shares

  • Reliance’s oil refining unit has suffered a plunge in demand for transportation fuels, with Covid-19 forcing people to stay home. The conglomerate is in the midst of a transformation led by Ambani, 63, as he looks to turn the oil-and-petrochemicals giant into a technology and digital services company.
  •  Mukesh Ambani, Asia’s richest man, lost as much as $5 billion from his net worth as Reliance Industries Ltd.’s shares tumbled to the lowest price in more than three months following a drop in quarterly profit.
  • The stock of India’s most-valuable company fell as much as 6.8% in Mumbai on Monday as of 12:21 p.m., slipping the most since May 12 and touching the lowest since July 20. The benchmark S&P BSE Sensex only declined as much as 0.7%. The slide also shaved down Ambani’s wealth to about $73 billion to mark his worst day since March, according to the Bloomberg Billionaires Index.
  • The refining-to-retail conglomerate reported a 15% decline in quarterly profit to 95.7 billion rupees ($1.3 billion) late on Friday, as the coronavirus pandemic hit fuel demand. Revenue fell 24% to 1.16 trillion rupees.

NITI Aayog CEO: 80 %UPI payments grow in a year with over 2 billion payments

  • New Delhi [India], November 2 (ANI): The number of transactions made through Unified Payments Interface (UPI) crossed the 2-billion mark in October 2020, said NITI Aayog Chief Executive Officer (CEO) Amitabh Kant on Monday.
  • As per Kant, the transaction volume has grown 80 per cent in a year’s time as there were 1.14 billion payments made through UPI in October last year.

The transaction value has also doubled in this time frame

  • “Amazing! UPI crossed the 2-billion transaction mark in October 2020. The UPI volume has grown 80 per cent from 1.14 billion transactions in October 2019 to 2.07 billion transactions last month. The transaction value has jumped 101 per cent from Rs 1,91,359.94 crore to Rs 3,86,106.74 crore,” Kant tweeted.
  • The peak in digital mode of payments by users has come amid the coronavirus phase, as also the festive season began in the country. (ANI)

India expand $4.3billion to make its first road purchase

  • NIIF, which has a corpus of $4.3 billion, acquired Essel Devanahalli Tollway in Karnataka and Essel Dichpally Tollway in Telangana through its NIIF Master Fund
  • NIIF counts the Canada Pension Plan Investment Board, Asian Development Bank and Abu Dhabi Investment Authority among its investors
  • India’s National Investment and Infrastructure Fund Ltd., backed by the federal government and others including Canadian pension firms and sovereign wealth funds, has purchased its first road assets.
  • NIIF, which has a corpus of $4.3 billion, acquired Essel Devanahalli Tollway in the southern state of Karnataka and Essel Dichpally Tollway in Telangana through its NIIF Master Fund, it said in a statement Monday. The projects will be managed by NIIF’s proprietary platform Athaang Infrastructure.
  •  Athaang will invest in strategic assets and develop a portfolio including mature operational assets, annuities/hybrid annuities, large size expressways and highways with greenfield and brownfield expansion requirements,” according to the statement.
  • NIIF counts the Canada Pension Plan Investment Board, Asian Development Bank and Abu Dhabi Investment Authority among its investors. Attracting foreign investment is crucial to meet Prime Minister Narendra Modi’s goal of spending $1.5 trillion on new roads, rail links and other infrastructure over the next five years as public finances deteriorate.

Amazon dispute order not binding; the complications that are on the way

  • On Sunday, India’s Future Retail Ltd (FRL) told that a Singapore arbitrator’s order in its dispute with Amazon.com Inc is not enforceable under Indian law and not binding on the company.
  • Both Future Retail and billionaire Mukesh Ambani’s Reliance said in news releases later they wanted to press on with the deal without delays, setting the stage for a showdown between the Indian companies and Amazon which is led by Jeff Bezos respectively.
  • In its Sunday filing, FRL said it had complied with all regulatory requirements and urged the market regulator and the Indian stock exchanges to continue to review its deal with Reliance for approval.
  • Amazon argues that a separate 2019 deal it had with a Future unit had clauses saying the Indian group couldn’t sell its retail assets to anyone on a “restricted persons” list including any firms from Reliance chief Mukesh Ambani’s group.
  • The deal specified any disputes would be arbitrated under Singapore International Arbitration Centre rules respectively.
